About the role
Key Responsibilities
- Ensure that governance processes operate effectively and in line with Freeda’s Constitution and legal obligations.
- Support the Chair in compliance with statutory requirements, including submission of annual returns where required.
- Maintain accurate and up-to-date records and registers.
- Support the Chair in arranging Management Committee meetings, the Annual General Meeting (AGM), and any Extraordinary General Meetings (EGMs) and documenting them.
- Work in partnership with the Chair to prepare and distribute agendas.
- Ensure that the CEO provides committee packs collated in an agreed timely and organised manner.
- Ensure meetings are conducted in accordance with the Constitution, including correct procedures for nominations and voting.
- Produce clear, accurate and impartial minutes and maintain official records and registers.
- Track and monitor actions arising from meetings, ensuring progress is reported at subsequent meetings.
- Ensure decisions and actions are clearly recorded and communicated.
- Manage correspondence on behalf of the Committee, including drafting responses where appropriate.
- Summarise key correspondence and updates for Committee meetings.
- Support effective communication and information flow between Committee members.
- Committee meetings are held bi-monthly (every two months).
- Additional meetings may be required to support urgent or extraordinary business.
- Preparation time is required in advance of meetings, including agenda planning, reviewing papers, and follow-up on actions.
- Participation in Committee activities which facilitate a more in-depth understanding of Freeda’s work and Freeda fundraising events as outlined in the Committee’s terms of reference.
Skills, Knowledge and Expertise
- Understanding of governance and committee secretarial processes.
- Ability to provide clear advice on procedural matters.
- Strong organisational skills with a methodical and detail-oriented approach.
- Ability to remain objective and impartial.
- Strong written communication skills, including accurate minute-taking.
- Ability to manage filing and correspondence efficiently and professionally.
