Manages programs, ensuring they are performed and delivered according to contract requirements. Develops client relationships, identifies and mitigates risks through working closely with the program execution team. Monitors compliance with applicable laws and regulations, and assists in the development of strategies to enhance governance practices.</span></p> <p>&nbsp;</p> <p><span style="font-size: 12pt;"><strong><u>Essential Duties and Responsibilities</u></strong></span></p> <p>&nbsp;</p> <p><span style="font-size: 12pt;"><strong><em>Contract Management</em></strong></span></p> <ul> <li style="font-size: 12pt;"><span style="font-size: 12pt;">Lead or support the drafting, negotiation, and review of a wide variety of contracts, including for employees, vendors, clients, NDAs, consulting, real property agreements, and professional services agreements.</span></li> <li style="font-size: 12pt;"><span style="font-size: 12pt;">Manage and enhance Greenpoint’s contract management system solution, including prompt filings and tagging, and accurate tracking of renewals, expirations, and obligations. Maintain Key Performance Indicators (KPIs) and visual controls and assist with regular reporting to internal stakeholders.</span></li> <li style="font-size: 12pt;"><span style="font-size: 12pt;">Collaborate with internal stakeholders to track contractual obligations, resolve complex contractual issues, and align with company policies and strategic objectives.</span></li> <li style="font-size: 12pt;"><span style="font-size: 12pt;">Works closely with Client Services in support of warranty administration and closing out delivery commitments in support of contractual compliance.</span></li> <li style="font-size: 12pt;"><span style="font-size: 12pt;">Ensures aircraft redelivery is conducted in accordance with contractual terms and conditions and manages contracting with redelivery service providers as needed such as, but not limited to, for pilots, fuel, fixed based operators, and tax exemption.</span></li> <li style="font-size: 12pt;"><span style="font-size: 12pt;">Actively participates in Daily Contracts Tag-up and maintains visual board to identify and mitigate risk exposure.</span></li> <li style="font-size: 12pt;"><span style="font-size: 12pt;">Coordinates the gathering of information, materials, documents, reports, and evidence necessary to respond to discovery and overall litigation management.</span></li> <li style="font-size: 12pt;"><span style="font-size: 12pt;">Oversees all Greenpoint insurance policies, conducts gap analysis periodically and project-specific insurance analysis and as necessary help Insurance Focal for Greenpoint.</span></li> <li style="font-size: 12pt;"><span style="font-size: 12pt;">Acts as back-up to key team members as requested.</span></li> <li style="font-size: 12pt;"><span style="font-size: 12pt;">Other duties as assigned.</span></li> </ul> <p><span style="font-size: 12pt;"><strong><em>&nbsp;</em></strong></span></p> <p><span style="font-size: 12pt;"><strong><em>Regulatory, Governance and Compliance Support</em></strong></span></p> <ul> <li style="font-size: 12pt;"><span style="font-size: 12pt;">Collaborate with legal team and internal stakeholders to develop and execute compliance programs including those related to trade compliance, export control, and client and supplier screening.</span></li> <li style="font-size: 12pt;"><span style="font-size: 12pt;">Monitor and track regulatory changes, ensuring that the organization remains compliant with all relevant laws, standards, and industry regulations.</span></li> <li style="font-size: 12pt;"><span style="font-size: 12pt;">Conducts legal research and analyzes case law in all areas of contract law, and assists Director, Contracts in developing and publishing legal policies such as FCPA and trade compliance policies.</span></li> <li style="font-size: 12pt;"><span style="font-size: 12pt;">Conduct comprehensive risk assessments to identify potential threats and vulnerabilities within the organization’s operations.</span></li> <li style="font-size: 12pt;"><span style="font-size: 12pt;">Assist in the development, implementation, and revision of corporate policies and procedures to align with best practices and compliance requirements.</span></li> <li style="font-size: 12pt;"><span style="font-size: 12pt;">Collaborate with internal and external audit teams, providing documentation and evidence as needed to demonstrate compliance and adherence to governance standards.</span></li> <li style="font-size: 12pt;"><span style="font-size: 12pt;">Develop, implement and maintain incident response plans to effectively address and mitigate risks.</span></li> <li style="font-size: 12pt;"><span style="font-size: 12pt;">Develop and deliver training programs to educate employees on governance, risk, and compliance matters, fostering a culture of awareness and accountability.</span></li> <li style="font-size: 12pt;"><span style="font-size: 12pt;">Identify opportunities for enhancing governance processes and recommend improvements to reduce risk exposure and enhance operational efficiency.</span></li> </ul> <p>&nbsp;</p> <p><span style="font-size: 12pt;"><strong>Leadership &amp; Certification</u></strong></span></p> <p><span style="font-size: 12pt;">Bachelor’s degree in Business Administration, Legal Studies, Public Administration, Supply Chain, or a related field, a minimum of 10 years of experience in contract management, paralegal, legal operations or equivalent combination of education and experience.</span></p> <p>&nbsp;</p> <p><span style="font-size: 12pt;">One of the following certifications required:</span></p> <ul> <li style="font-size: 12pt;"><span style="font-size: 12pt;">Certified Professional Contracts Manager (CPCM)</span></li> <li style="font-size: 12pt;"><span style="font-size: 12pt;">Certified Commercial Contracts Manager (CCCM)</span></li> <li style="font-size: 12pt;"><span style="font-size: 12pt;">Equivalent advanced
