About the role
nvicti, a global leader in web security, is seeking a talented and experienced commercial contracts attorney. Key priorities for this role will involve working closely with Invicti's Sales, Security, Support, and Customer Success teams to draft and negotiate software-as-a-service subscription agreements as well as a wide range of other commercial agreements in support of Invicti's international business. The ideal candidate will be a dynamic and agile attorney with exceptional negotiation and drafting skills who has experience working in a corporate legal or contracts department and who is comfortable in a fast-paced environment supporting internal business teams as well as dealing directly with customers, partners, and vendors.
This position can be in Malta or remote in Europe reporting to Invicti’s General Counsel. While this is a highly collaborative, flexible, and fun environment, we are looking for a self-starting problem-solver who can work cooperatively and autonomously and roll up their sleeves when necessary to get the job done.
What You’ll be Doing:
- Drafting, reviewing, and negotiating a variety of commercial agreements to support customer sales, Invicti purchase of software and services from vendors, and growth-driven partnerships with both startups and public companies. Your primary focus will be on enterprise SaaS subscription agreements, data processing agreements, and NDAs.
- Analyzing contract terms against industry best practices and company policy, then providing practical and strategic legal advice and actionable recommendations to requisite business owners;
- Supporting continuous improvement of Invicti's standard contract templates, resources, and internal policies (and drive updates to internal documentation and/or rollout requisite training, as needed);
- Completing special projects as requested (e.g., internal audits, due diligence efforts, etc.);
- Assisting the Operations department tasked with resolving critical issues under month-end and year-end deadlines;
- Helping to build and manage processes and workflows that can scale globally to keep up with our fast growth.
What You’ll Need:
- Law degree and professional local legal qualification;
- 5+ years of experience as a lawyer in contract drafting and negotiation, particularly related to SaaS;
- Experience negotiating customer and vendor contracts, working directly with internal (e.g., Sales, Customer Success, Security, Support, Engineering, etc.) and external (e.g., Customers or Vendors) stakeholders, as appropriate;
- Skills in developing strong working relationships, both with internal and external stakeholders;
- Familiarity with analyzing problems and recommending practical solutions to the business;
- Consistent demonstration of excellent communication skills and great attention to detail;
- Proactivity with a proven ability to operate successfully in a fast-paced environment;
- Expertise with the following areas of law is strongly preferred: enterprise SaaS transactions, licensing, technology, partnerships, and data privacy and security.
