<div><span style="font-size: 12pt;">Copia is seeking a Director, Structured Finance to lead complex energy project finance transactions and support the company’s continued growth as a leader in energy finance. The ideal candidate will be responsible for structuring and executing transactions that raise billions of dollars in innovative third-party capital annually to bring clean energy projects to the grid. This role requires deep experience in renewable energy project finance, strong financial modeling capabilities, exceptional organizational, communication, and analytical skills, and a collaborative mindset aligned with a people-first culture.</span></div>

<div><span style="font-size: 12pt;">The Director, Structured Finance, will report directly to the Managing Director, Capital Markets, working closely with the Structured Finance and Portfolio Finance team members. As well as Copia’s asset management, energy markets, legal, and finance teams.</span></div>

<ul>
<li style="font-size: 12pt;"><span style="font-size: 12pt;">Originate, structure, and execute project finance transactions enabling the development, construction, and operations of solar, battery storage, thermal, and digital projects in the U.S. This will include development/corporate loan facilities, tax equity partnerships, tax credit transfer transactions, construction loans, and term loans.</span></li>
<li style="font-size: 12pt;"><span style="font-size: 12pt;">Manage internal team members, external advisors, and transaction counsel, negotiate transaction documentation, own the financing model, create internal approval documentation, and evaluate transaction risks.</span></li>
<li style="font-size: 12pt;"><span style="font-size: 12pt;">Coordinate Copia’s response to due diligence on individual or portfolio financings, working closely with the development, engineering, and legal teams to respond to investor inquiries in a timely manner.</span></li>
<li style="font-size: 12pt;"><span style="font-size: 12pt;">Cultivate and maintain relationships with potential investors, lenders, and other financial partners in the energy sector.</span></li>
<li style="font-size: 12pt;"><span style="font-size: 12pt;">Mentor less experienced team members and cultivate a positive and inclusive high-performance culture.</span></li>
<li style="font-size: 12pt;"><span style="font-size: 12pt;">Advise in the negotiation of critical project agreements, including equipment supply agreements, PPAs, IAs, EPC contracts, and O&M agreements.</span></li>
<li style="font-size: 12pt;"><span style="font-size: 12pt;">Allocate resources including time, capital, and attention to ensure tasks and larger financings are completed on time at an efficient cost with technical accuracy.</span></li>

<ul>
<li style="font-size: 12pt;"><span style="font-size: 12pt;">Proven transaction experience in the energy or infrastructure sector, preferably at a developer, operating company, private equity, management consulting, or banking.</span></li>
<li style="font-size: 12pt;"><span style="font-size: 12pt;">Understanding of tax-equity structures and partnership tax principles, debt facilities, and equity sale transactions.</span></li>
<li style="font-size: 12pt;"><span style="font-size: 12pt;">Significant experience building, maintaining, auditing, and editing Excel-based project finance models.</span></li>
<li style="font-size: 12pt;"><span style="font-size: 12pt;">Experience reviewing and negotiating legal documents related to tax equity and debt transactions, including discretion in handling confidential information and in communicating with third parties.</span></li>
<li style="font-size: 12pt;"><span style="font-size: 12pt;">Experience managing direct reports and a cross-functional project team of subject matter experts.</span></li>
<li style="font-size: 12pt;"><span style="font-size: 12pt;">Excellent oral and written communication skills, including the creation and delivery of crisp management and investor presentations.</span></li>
<li style="font-size: 12pt;"><span style="font-size: 12pt;">Demonstrated record of guiding teams to success.</span></li>
<li style="font-size: 12pt;"><span style="font-size: 12pt;">Excellent organizational and project management skills with strong attention to detail.</span></li>
<li style="font-size: 12pt;"><span style="font-size: 12pt;">Knowledge of energy and infrastructure project development, utilities, interconnection, permitting, power markets, and renewable energy technologies.</span></li>
<li style="font-size: 12pt;"><span style="font-size: 12pt;">Self-starter capable of operating with minimal supervision.</span></li>
<li style="font-size: 12pt;"><span style="font-size: 12pt;">Ability to work collaboratively in a dynamic, fast-paced environment, manage multiple deadlines, and identify critical items.</span></li>
<li style="font-size: 12pt;"><span style="font-size: 12pt;">Highly driven with problem-solving abilities, integrity, and a strong work ethic.</span></li>

<li style="font-size: 12pt;"><span style="font-size: 12pt;">5 to 10+ years of professional experience in energy project financing, including closing tax equity transactions.</span></li>
<li style="font-size: 12pt;"><span style="font-size: 12pt;">Bachelor’s degree in finance, Accounting, or related field; MBA or CFA is a plus.</span></li>
<li style="font-size: 12pt;"><span style="font-size: 12pt;">Strong understanding of energy markets, solar energy technologies, and project finance principles.</span></li>
<li style="font-size: 12pt;"><span style="font-size: 12pt;">Proven experience with Microsoft Office, including advanced proficiency in PowerPoint & Excel</span></li>
<li style="font-size: 12pt;"><span style="font-size: 12pt;">Experience with project management software</span></li>
<li style="font-size: 12pt;"><span style="font-size: 12pt;">Ability to work in the Washington D.C office a minimum of 3 days per week is strongly preferred. Also open to those currently located or willing to relocate to Salt Lake City, UT, Dana Point, CA, Phoenix, AZ, or Lake Oswego, OR.</span></li>
<li style="font-size: 12pt;"><span style="font-size: 12pt;">Ability to travel up to 25% on average but more as required by transactions. </span></li>
