<h3><strong>Join Our Team as an Attorney at Axiom</strong></h3> <p><span style="font-family: helvetica, arial, sans-serif;">We are seeking an <strong data-start="142" data-end="176">Equity Capital Markets Counsel</strong> to join our Corporate and Securities team. This role centers on <strong data-start="241" data-end="324">IPO execution, SEC reporting and compliance, and equity transaction structuring</strong>. We are looking for a hands-on attorney with a proven track record advising on <strong data-start="404" data-end="514">initial public offerings, registration statements, and ongoing Securities Exchange Act of 1934 obligations</strong>, as well as supporting corporate governance and shareholder rights matters. The ideal candidate will bring deep experience across the **equity lifecycle - from pre-IPO readiness and filings to post-IPO compliance and equity offerings -**along with strong transactional and regulatory capabilities in <strong data-start="812" data-end="863">corporate securities and equity capital markets</strong>.</span></p> <h3><strong>Responsibilities:</strong></h3> <ul> <li data-start="126" data-end="294">Drafting, reviewing, and negotiating <strong data-start="163" data-end="291">equity offering documentation, stock purchase agreements, shareholder agreements, and related corporate governance materials</strong>.</li> <li data-start="298" data-end="413">Providing legal guidance on <strong data-start="326" data-end="410">IPO processes, SEC filings, corporate governance matters, and shareholder rights</strong>.</li> <li data-start="417" data-end="611">Collaborating with <strong data-start="436" data-end="543">internal legal, finance, and executive teams, as well as external counsel, underwriters, and regulators</strong>, on <strong data-start="548" data-end="608">public offerings and equity capital markets transactions</strong>.</li> <li data-start="615" data-end="751">Managing <strong data-start="624" data-end="674">securities law and corporate governance issues</strong> for clients in <strong data-start="690" data-end="748">public and pre-IPO companies across various industries</strong>.</li> <li data-start="755" data-end="908">Staying ahead of <strong data-start="772" data-end="876">equity capital markets developments and evolving SEC rules under the Securities Exchange Act of 1934</strong> to provide proactive counsel.</li> </ul> <h3><strong>Qualifications:</strong></h3> <ul> <li data-start="938" data-end="1040"><strong data-start="938" data-end="950">5+ years</strong> of experience in <strong data-start="968" data-end="1037">equity capital markets, securities law, or corporate transactions</strong>.</li> <li data-start="1044" data-end="1153">Strong knowledge of <strong data-start="1064" data-end="1150">IPO execution, SEC reporting requirements, and the Securities Exchange Act of 1934</strong>.</li> <li data-start="1157" data-end="1282">Proven track record of advising clients on <strong data-start="1200" data-end="1279">equity offerings, registration statements, and corporate governance matters</strong>.</li> <li data-start="1286" data-end="1365">Excellent communication, negotiation, technology, and problem-solving skills.</li> <li data-start="1369" data-end="1459"><strong data-start="1369" data-end="1390">Juris Doctor (JD)</strong> degree and licensed to practice law in an applicable jurisdiction.</li> </ul> <h3><strong>Preferred Skills:</strong></h3> <ul> <li data-start="1491" data-end="1597">Experience with <strong data-start="1507" data-end="1594">drafting and managing registration statements and ongoing public company compliance</strong>.</li> <li data-start="1601" data-end="1706">Familiarity with <strong data-start="1618" data-end="1705">working alongside investment banks and underwriters on IPOs and follow-on offerings</strong>.</li> </ul> <h3><strong>Compensation:</strong></h3> <p>The estimated total compensation for full-time Axiom attorney roles is $104,500-325,000 per year and for non-attorney roles is $71,250-309,750 per year.<strong>&nbsp;</strong>Compensation decisions are based on various factors, including, but not limited to, experience, skills, certifications, location, and business needs.&nbsp; Employees may be eligible for additional benefits, including health, dental, and vision insurance; paid holidays and PTO; flexible work arrangements; and professional development opportunities and tools.</p> <h3><strong>About Axiom:</strong></h3> <p>For over 25 years, Axiom has pioneered the alternative legal services industry, now serving more than 1,500 legal departments globally with our unique blend of world-class legal talent and advanced AI tools, delivering innovative solutions ranging from that combine top-tier talent with cutting-edge technology.
