About the role
What You’ll Do
- Provide legal counsel to internal stakeholders on a wide range of operational, regulatory, and corporate issues
- Review, draft, and negotiate complex contracts, including client agreements, vendor contracts, NDAs, service agreements, and licensing documents
- Support the General Counsel in managing corporate governance practices, legal policies, and compliance frameworks
- Conduct legal research, interpret statutes and regulations, and provide guidance on the impact of legal changes on Cotton operations
- Assist with mergers, acquisitions, corporate transactions, and related due diligence tasks
- Oversee litigation matters handled by outside counsel, including strategy, filings, discovery, and settlement discussions
- Support internal teams in collecting information, responding to subpoenas, and preparing legal documentation
- Review budgets, invoices, and performance of outside counsel and other legal vendors
- Support company-wide compliance efforts, including licensing, regulatory filings, documentation, and audits
- Work collaboratively with the Risk Department on matters involving insurance, liability, risk exposure, and regulatory compliance
- Ensure legal risk assessments are integrated into major business initiatives
What You Bring to the Table
- Minimum of 7–10 years of legal experience, including significant in-house counsel experience preferred
- Strong background in commercial contracting, corporate governance, and regulatory matters
- Experience managing litigation or coordinating with outside counsel
- Experience supervising legal staff or leading operational processes within a legal function is preferred
- Experience in construction, restoration, industrial services, or related industries is beneficial
- Strong legal drafting, negotiation, and analytical skills
- Ability to identify risks, interpret complex regulations, and provide sound legal advice
- Ability to manage multiple priorities and deadlines in a fast-paced environment
- Excellent communication and interpersonal skills, including the ability to explain legal concepts to non-lawyers
- Proficiency with legal technology, contract management systems, and Microsoft Office
- Strong organizational and decision-making abilities
- Juris Doctor (JD) from an accredited law school required
- Active license to practice law in Texas
- Licensed to practice in Texas or ability to become licensed within a defined timeframe
