You will be responsible for the negotiation of power-related agreements for the Company’s growing energy infrastructure platform. This role requires a sophisticated understanding of how energy regulatory frameworks and utility timelines dictate project viability.</p> <p>You will be responsible for structuring power supply arrangements and managing the legal risks associated with generation, interconnection and transmission capacity; including drafting and negotiating energy service agreements, power purchase agreements, retail service agreements, interconnection and other utility infrastructure agreements.&nbsp;&nbsp;You will be responsible for conducting due diligence related to power availability in connection with potential acquisitions of powered land and related infrastructure assets.&nbsp;&nbsp;Success in this role depends on your ability to align energy obligations with construction schedules, financing covenants, and customer commitments.</p> <p><strong>About You</strong></p> <ul> <li><strong>Energy Subject Matter Expert:</strong>&nbsp;You possess deep knowledge of the North American power grid, including interconnection, transmission and distribution approval processes, and complex tariff structures.&nbsp;&nbsp;You will have deep familiarity procuring power in both regulated utility markets and competitive retail energy markets.</li> <li><strong>Technical Negotiator:</strong>&nbsp;You have a proven track record of lead-negotiating multi-party infrastructure deals.</li> <li><strong>Strategic Risk Manager:</strong>&nbsp;You can identify and mitigate regulatory and operational dependencies—such as curtailment risks and upgrade obligations—before they impact project delivery.</li> <li><strong>Integrated Advisor:</strong>&nbsp;You excel at serving as an energy subject-matter expert for cross-functional teams in Strategic Transactions, Finance, and Development.</li> </ul> <p>Key Responsibilities</p> <ul> <li>Drive negotiations for interconnection agreements, shared facilities and other co-tenancy agreements, transmission service agreements, distribution arrangements and other utility infrastructure agreements;&nbsp;</li> <li>Negotiate and structure power supply agreements, energy service agreements, retail energy supply agreements and ancillary service arrangements.</li> <li>Provide legal analysis of various utility tariffs and rate structures.</li> <li>Stay up to speed on key policies impacting generation procurement, interconnection policies, transmission and distribution policies and regulations impacting power procurement.</li> <li>Own the power-related portions of project financing deliverables, including diligence requirements and lender covenants.</li> <li>Prepare and negotiate letters of intent, asset purchase agreements and membership purchase agreements related to the acquisition of power related assets.&nbsp;</li> <li>Manage legal risks and disputes related to operating assets.</li> <li>Direct energy-specific outside law firms with a focus on budget control and internalizing institutional knowledge.</li> </ul> <p><strong>ABOUT THE WORK ENVIRONMENT</strong></p> <p><span class="TextRun SCXW3104751 BCX0" lang="EN-US" data-contrast="none"><span class="NormalTextRun SCXW3104751 BCX0">This role is </span><span class="NormalTextRun SCXW3104751 BCX0">in office at our corporate headquarters in the Brickell area of Miami, Florida.
