In-house Legal Counsel - Project Finance & M&A

Greenvolt is a 100% renewable energy Group operating across multiple geographies, focused on delivering sustainable energy solutions through solar, wind, and biomass.

We are looking for an In-house Legal Counsel to join our Legal team and support project finance, financing operations, and M&A activities. This role offers the opportunity to work on complex and high-impact transactions, with a particular focus on structured finance and banking and financial matters.

Key responsibilities:

• Draft, review, and negotiate transaction documents, including financing agreements, purchase and sale contracts, and other ancillary agreements
• Provide legal advice on financing, banking transactions, and M&A activities, ensuring compliance with applicable laws and regulations
• Support the structuring and execution of financing transactions through legal analysis and interpretation of relevant legislation
• Collaborate with internal and external stakeholders to ensure smooth and efficient transaction processes
• Guide internal teams on compliance requirements and best practices related to financing and M&A transactions

Requirements

• Law degree (Master’s degree is a plus)
• Admission to the Portuguese Bar Association (Ordem dos Advogados)
• At least 5 years of professional experience in legal advisory, contract management, compliance, or related areas
• Previous experience in banking, financial transactions, or structured finance is highly valued
• Strong knowledge of Banking, Financial, and Corporate Law
• Excellent analytical, problem-solving, and communication skills
• Proactive mindset, with the ability to manage multiple priorities in a dynamic environment
