Legal Counsel

<div><strong>Location:</strong><span class="Apple-converted-space">&nbsp;</span>Hong Kong or Singapore</div> <div>Key Responsibilities</div> <ul> <li><strong>Fund formation &amp; structuring</strong><span class="Apple-converted-space">&nbsp;</span>— Lead the drafting, review and negotiation of fund establishment and constitutive documents, with a particular focus on Variable Capital Companies (VCCs) and related fund structures.</li> <li><strong>Investor documentation</strong><span class="Apple-converted-space">&nbsp;</span>— Prepare and negotiate subscription agreements, side letters, investor onboarding documentation and disclosure materials.</li> <li><strong>Corporate &amp; commercial contracting</strong><span class="Apple-converted-space">&nbsp;</span>— Draft, review and negotiate vendor, service, technology and data agreements, NDAs, intellectual property arrangements and other commercial contracts.</li> <li><strong>Entity management &amp; governance</strong><span class="Apple-converted-space">&nbsp;</span>— Support the incorporation and ongoing maintenance of fund and management company entities, including overseas office set-up; coordinate with corporate secretarial service providers.</li> <li><strong>Employment</strong><span class="Apple-converted-space">&nbsp;</span>— Prepare and maintain template employment agreements and advise on day-to-day employment matters across jurisdictions.</li> <li><strong>Regulatory-adjacent legal support</strong><span class="Apple-converted-space">&nbsp;</span>— Work alongside the Compliance function on the legal interpretation of regulatory requirements affecting fund operations and licensing.</li> <li><strong>External counsel &amp; legal spend</strong><span class="Apple-converted-space">&nbsp;</span>— Instruct and manage external counsel on specialist and cross-border matters, and help manage legal spend.</li> <li><strong>Business partnering</strong><span class="Apple-converted-space">&nbsp;</span>— Provide pragmatic, commercially grounded legal advice to the investment, operations and management teams.</li> </ul> <div>Requirements</div> <ul> <li>Qualified lawyer admitted in Singapore or Hong Kong (or a comparable common law jurisdiction).</li> <li>Approximately 4–7 years PQE, with substantive experience in funds / investment management legal work.</li> <li><strong>Hands-on fund formation experience is essential</strong><span class="Apple-converted-space">&nbsp;</span>— in particular the establishment and structuring of Singapore VCCs. Familiarity with comparable vehicles (e.g. Cayman funds, Hong Kong OFCs) is an advantage.</li> <li>Solid corporate and commercial contracting experience.</li> <li>Experience gained in-house at an asset / fund manager, or in a funds practice at a reputable law firm.</li> <li>Strong drafting and negotiation skills, with the ability to manage multiple workstreams independently.</li> <li>Commercially minded and solutions-oriented — able to translate legal risk into practical, executable business guidance rather than purely theoretical advice.</li> <li>Able to onboard quickly and operate effectively with limited supervision.</li> <li>Cross-border exposure (e.g. China, India, the Middle East) is an advantage.</li> </ul>
