If you join our team, you’ll be contributing to building the technology that powers the future.</p> <h2><strong>About the Role</strong></h2> <p>We are hiring a <strong>Legal Counsel (Debt Capital Markets)</strong> to support end-to-end financing strategy and execution across the <strong>North America</strong> region.</p> <p>This is a high-priority role at the intersection of <strong>Legal, Treasury, and regional leadership</strong>, with a functional reporting line to the <strong>VP, Legal (Debt Capital Markets)</strong> in New York and a dotted line to local and EMEA leadership. You will partner closely with internal stakeholders on early-stage financing strategy, customer contracting, legal due diligence, transaction execution, and post-closing lender requirements.</p> <p>Your work will be central to supporting complex financing activity across the US. By helping structure projects effectively from the outset, negotiating and closing transaction documents efficiently, and managing lender obligations with rigor throughout the life of each deal, you will play a critical role in enabling successful financing outcomes.</p> <h2><strong>What you'll be doing</strong></h2> <p><strong>Financing Strategy &amp; Structuring</strong></p> <ul> <li><strong>Support</strong> early scoping of financing strategies in partnership with <strong>Treasury</strong>.</li> <li><strong>Advise</strong> on legal considerations that shape financing structures for <strong>US projects</strong>.</li> <li><strong>Partner</strong> with leadership to address financing needs at the outset of project planning.</li> <li><strong>Provide</strong> early-stage financing strategy support for <strong>EMEA projects</strong> where needed.</li> </ul> <p><strong>Contracting &amp; Documentation</strong></p> <ul> <li><strong>Work</strong> with leadership to incorporate financing terms into customer documents and other key project documents at early stages.</li> <li><strong>Integrate</strong> collateral contract requirements into customer contracting workflows.</li> <li><strong>Review</strong> commercial documentation to align customer arrangements with financing objectives.</li> <li><strong>Manage</strong> negotiation of transaction documents across financing matters.</li> </ul> <p><strong>Diligence &amp; Transaction Execution</strong></p> <ul> <li><strong>Lead</strong> legal due diligence for US projects.</li> <li><strong>Coordinate</strong> with Treasury on tax financing diligence.</li> <li><strong>Oversee</strong> external counsel and support coordination across banks and law firms.</li> <li><strong>Drive</strong> timely completion of transaction negotiations and execution workstreams.</li> </ul> <p><strong>Approvals, Drawdowns &amp; Ongoing Lender Management</strong></p> <ul> <li><strong>Oversee</strong> authorizations and board approvals required for transactions.</li> <li><strong>Drive</strong> satisfaction of lender conditions precedent for drawdowns.</li> <li><strong>Handle</strong> post-closing lender maintenance, including amendments and waivers.</li> <li><strong>Maintain</strong> legal support across the full lifecycle of financing arrangements.</li> </ul> <h2><strong>KPIs</strong></h2> <ul> <li><strong>Timely completion of legal due diligence and transaction negotiations</strong></li> <li><strong>Execution of approvals and lender conditions precedent for drawdowns</strong></li> <li><strong>Ongoing management of lender amendments and waivers</strong></li> <li><strong>Early-stage financing strategy support for EMEA projects</strong></li> </ul> <h2><strong>About You</strong></h2> <ul> <li><strong>3–6+ years</strong> of relevant legal experience</li> <li><strong>JD</strong> and active license in at least one <strong>U.S. state bar</strong></li> <li>Experience in a market-leading <strong>project finance, real estate finance, or asset finance</strong> law firm practice and/or in-house at a reputable institution</li> <li>Exposure to a variety of <strong>debt products</strong></li> <li>Ability to manage end-to-end financing transactions across <strong>structuring, diligence, negotiation, and closing</strong></li> <li><strong>Tech-fluent</strong> and eager to adopt new tools, including <strong>AI tools, PowerPoint, and Excel</strong>, to streamline legal execution</li> <li>Knowledge of <strong>data center and GPU financing</strong> is a significant advantage</li> <li>Strong attention to detail and a high standard of execution</li> <li>Commercial acumen and sound judgment in complex transactional environments</li> <li>Ability to operate autonomously in a fast-paced environment</li> </ul> <h2><strong>What we can offer you</strong></h2> <p>At Nscale, you'll find a collaborative, supportive, and innovative environment where your contributions spark real impact.
