Agoda’s Legal team is well suited to take on the opportunities and challenges presented, adopting a proactive mindset to enable the business&nbsp;and tackle&nbsp;complex and time-sensitive problems. We hire proactive self-starting out-of-the-box thinkers that are well grounded with ethics and legal knowledge to ensure that Agoda achieves the right results, the right way.&nbsp;&nbsp;</p> <p>This opportunity represents an exceptional chance to embed yourself within one of the world’s most exciting groups, based in the vibrant and thriving city of Bangkok, and to help&nbsp;Corporate Governance and Entity Management&nbsp;be at the heart of how Agoda’s defines the future for accessing travel experiences across the world.</p> <p>**This role is based in Bangkok, Thailand with relocation provided to the successful candidate.</p> <p>**No full-remote option is available.&nbsp;</p> <p><strong>Get to know the role</strong></p> <ul> <li> <p>The role is a part of&nbsp;Agoda’s Legal Team with&nbsp;the responsibility&nbsp;to&nbsp;manage&nbsp;of&nbsp;Agoda’s global&nbsp;subsidiaries from a corporate governance perspective.&nbsp;This includes entity compliance,&nbsp;assisting&nbsp;with board meetings, managing subsidiary entities’ governance and intra-group re-organisations&nbsp;and&nbsp;rationalisation&nbsp;of legal entities. &nbsp;</p> </li> </ul> <ul> <li> <p>The role also&nbsp;assists&nbsp;with general corporate governance matters, which involves liaising with other business stakeholders such as Treasury, Legal,&nbsp;Finance&nbsp;and other business stakeholders.&nbsp;  &nbsp;</p> </li> </ul> <ul> <li> <p>Oversee&nbsp;and manage&nbsp;relationship&nbsp;with&nbsp;external providers with&nbsp;respect&nbsp;to&nbsp;the global&nbsp;legal entity management. &nbsp;</p> </li> </ul> <p><strong>Key responsibilities</strong></p> <p>Legal Entity Management&nbsp;</p> <ul> <li> <p>Coordinating board meetings of the subsidiary entities and advising from a governance perspective. Taking meeting minutes and ensuring circulation to relevant stakeholders.  &nbsp;</p> </li> </ul> <ul> <li> <p>Coordinating the induction and training of Directors, including preparation of relevant materials in collaboration with Legal&nbsp;team. &nbsp;</p> </li> </ul> <ul> <li> <p>Working closely with Tax/Legal Teams and other stakeholders&nbsp;on day-to-day queries in relation to the subsidiaries.  &nbsp;</p> </li> </ul> <ul> <li> <p>Document execution for the subsidiaries (including&nbsp;notarisation&nbsp;and&nbsp;apostillisation&nbsp;where&nbsp;required) and&nbsp;providing&nbsp;general advice on signing authorities. This includes liaising with Tax and other stakeholders where necessary (for&nbsp;e.g.&nbsp;while executing&nbsp;a power&nbsp;of attorney).  &nbsp;</p> </li> </ul> <ul> <li> <p>Ensuring entity compliance&nbsp;for&nbsp;Agoda’s global&nbsp;subsidiaries and managing their regulatory filings.&nbsp;&nbsp;</p> </li> </ul> <ul> <li> <p>Advising on&nbsp;board composition of&nbsp;global&nbsp;entities alongside Tax and&nbsp;assisting&nbsp;with appointments and resignations. &nbsp;</p> </li> </ul> <ul> <li> <p>Assisting&nbsp;with&nbsp;audit related&nbsp;inquiries, if&nbsp;required. &nbsp;</p> </li> </ul> <ul> <li> <p>Leading the entity reduction process by coordinating liquidation procedures, including liaising&nbsp;with&nbsp;and managing the relationship with&nbsp;senior stakeholders. &nbsp;</p> </li> </ul> <ul> <li> <p>Addressing governance-related requests from&nbsp;regulators. &nbsp;</p> </li> </ul> <p><strong>Group Structure&nbsp;</strong></p> <ul> <li> <p>Joining calls on internal re-organisations&nbsp;and giving input from a company law perspective. Executing any internal re-organisations&nbsp;in conjunction with&nbsp;legal&nbsp;requirements.&nbsp;</p> </li> </ul> <ul> <li> <p>Addressing queries in relation to the Group Structure and&nbsp;assisting&nbsp;stakeholders in answering the same. &nbsp;</p> </li> </ul> <ul> <li> <p>Managing the creation of new&nbsp;Agoda&nbsp;entities and liaising with relevant internal&nbsp;and external&nbsp;stakeholders to ensure&nbsp;accurate&nbsp;maintenance of records.  &nbsp;</p> </li> </ul> <ul> <li> <p>Identifying&nbsp;changes to the group structure&nbsp;and&nbsp;prepare&nbsp;an annual&nbsp;group structure chart&nbsp;to be shared with C-forum. &nbsp;</p> </li> </ul> <p><strong>Qualifications and Experience</strong></p> <ul> <li> <p>4+&nbsp;years&nbsp;of experience in related field.  &nbsp;</p> </li> </ul> <ul> <li> <p>Strong interpersonal skills and the ability to work well with people at all levels.
